Thank you for using Rauland’s APIs, other partner services and associated software (collectively, “APIs”).  By accessing Rauland’s APIs, you are agreeing to the terms below.  If you are using the APIs on behalf of an organization,

If you do not have authority to bind your organization to the Terms, you may not use the APIs. 

In order to access certain APIs, you may be required to provided certain identifying information as part of the registration process or as part of your continued use of the APIs.  Any registration information you give to Rauland will always be accurate and up to date and you will inform Rauland promptly of any updates to your identifying information.

You will only access, or attempt to access, APIs by the means described in the documentation of such APIs.  You will require your end users to comply with applicable law, regulation, and the Terms.  If you provide feedback or suggestions about Rauland’s APIs, then Rauland may use such information without obligation to you.

Some of Rauland’s APIs may be offered under an open source license and may be subject to different terms which may expressly supersede these Terms. 

Subject to the Terms, Rauland grants to you a world-wide, revocable, non-exclusive license, under Rauland copyrights, to use the Rauland APIs to facilitate third party integration with a Responder system that is installed and maintained by a Rauland authorized distributor (“Authorized Use”).

Rauland does not acquire ownership to your websites or applications for which you use the APIs and you do not acquire ownership of any rights in Rauland’s APIs nor the content thereof that is accessed through Rauland’s APIs.

When using Rauland’s APIs, you may not:

You will comply with all applicable privacy laws and regulations including those applying to personally identifiable information and protected health information.  You agree not to delete or alter any copyright or other proprietary notices signifying Rauland’s ownership of Rauland’s APIs.

All rights not expressly granted herein are reserved by Rauland. 

WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, GUARANTEES OR CONDITIONS WITH RESPECT TO YOUR USE OF THE APIS.  YOU UNDERSTAND THAT USE OF THE APIS IS AT YOUR OWN RISK AND THAT WE PROVIDE APIS ON AN “AS IS” BASIS “WITH ALL FAULTS” AND “AS AVAILABLE.”  TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAW, WE EXCLUDE ANY IMPLIED WARRANTIES, INCLUDING FOR MERCHANTABILITY, SATISFACTION QUALITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, AND NON-INFRINGEMENT.  YOU MAY HAVE CERTAIN RIGHTS UNDER YOUR LOCAL LAW AND NOTHING IN THESE TERMS ARE INTENDED TO AFFECT THOSE RIGHTS, IF THEY ARE APPLICABLE.  YOU ACKNOWLEDGE THAT COMPUTER AND TELECOMMUNICATIONS SYSTEMS ARE NOT FAULT-FREE AND OCCASIONAL PERIODS OF DOWNTIME OCCUR.  WE DO NOT GUARANTEE THE APIS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OR THAT CONTENT LOSS WILL NOT OCCUR.  YOU MAY BE ABLE TO ACCESS THIRD-PARTY WEBSITES OR SERVICES VIA THE APIS AND YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR SUCH WEBSITES OR SERVICES OR CONTENT THAT MAY BE AVAILABLE THERE.

If you have any basis for recovering damages, including breach of these Terms, you agree that your sole and exclusive remedy is to recover, from Rauland or any affiliates, resellers, distributors, suppliers (and their respective employees, stockholders or directors) and vendors, only direct damages up to US$10.00 collectively.  You cannot recover any other damages or losses, including without limitation, direct, consequential, lost profits, special, indirect, incidental, or punitive.  These limitations and exclusions apply even if this remedy does not fully compensate you for any losses or fails of its essential purpose or if we knew or should have known about the possibility of the damages.  To the maximum extent permitted by law, these limitations and exclusions apply to anything or any claims related to these Terms and your use of any APIs.

Unless prohibited by applicable law, you will defend and indemnify Rauland and its affiliates, and their respective directors, officers, employees and users, against all liabilities, damages, losses, costs, fees including legal fees, and expenses relating to any allegation or third-party legal proceeding to the extent arising from:

The Terms will commence on the date you implement the APIs and will continue until terminated as provided below.  Rauland may terminate the Terms for any reason with 15 days’ advance written notice to you.  You may terminate the Terms at any time by ceasing to use the APIs and disabling your ability to use the APIs.  Rauland may terminate the Terms immediately upon written notice if you breach the Terms.  On termination of the Terms, your licenses to the APIs shall immediately terminate and some of the provisions of the Terms that by their nature are intended to continue indefinitely will apply, including but not limited to Sections 3, 4-8 and 10 of this License Agreement and Terms of Use will survive any termination of this License Agreement and Terms of Use.

We may modify the Terms or any portion to, for example, reflect changes to the law or changes to the APIs.  You should look at the Terms regularly.  Rauland will post a notice of modifications to the Terms of each applicable API, to this website and/or on the Rauland web portal.  Changes will not apply retroactively and will become effective no sooner than 30 days after they are posted.  However, changes addressing new functionality for the APIs or changes made for legal reasons will be effective immediately.  If you do not agree to the modified Terms for the APIs, you should immediately discontinue your use of that API.  Your continued use of the APIs constitutes your acceptance of the modified Terms.

Injunctive Relief: Nothing in the Terms will limit either party’s ability to seek injunctive relief.

No Support:  Because the APIs are provided “as is,” we may not provide support for them.

Severability:   If it turns out that a particular term is not enforceable, this will not affect any other term.

Entire Agreement:  These Terms and any documents incorporated into these Terms by reference constitute the entire agreement between you and Rauland regarding the APIs and supersede all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms.  If any provision of these Terms is found to be illegal, void or unenforceable, the unenforceable provision will be modified so as to render it enforceable to the maximum extent possible.

No Publicity:   You will not make any statement regarding your use of the API which suggests partnership with, sponsorship by, or endorsement by Rauland, without Rauland’s prior written approval.

Assignment:  You will not assign or delegate any rights or obligations under these Terms, including in connection with a change of control.  Any purported assignment and delegation shall be ineffective.  We may freely assign or delegate all rights and obligations under these Terms, fully or partially without notice to you.

Governing Law:  The Terms shall be governed by the laws of the Commonwealth of Pennsylvania without regard to choice or conflicts of law rules.  The exclusive jurisdiction and venue for any legal matter related to the Terms shall be either the state court for Chester County, Pennsylvania or United States District Court for the Eastern District of Pennsylvania.

Notices:  Notices under this Agreement must be in writing and are deemed to have been given upon personal deliver or the third business day after mailing to Rauland API License Agreement, Rauland-Borg Corporation, 1802 W Central Road, Mount Prospect, IL 60056, with a copy to Rauland’s President at the same address.

    • Reverse engineer, decompile or disassemble Rauland’s APIs, except and only to the extent that applicable law expressly permits despite this limitation;
    • Use Rauland’s APIs in a way that could impair, harm or damage Rauland, any Rauland product or service, or anyone’s use of Rauland’s APIs, product or service;
    • Use Rauland’s APIs in a way that violates applicable law;
    • Use Rauland’s APIs in any way that threatens the integrity, performance or reliability of Rauland APIs or any Rauland product or service, including performance or stress testing, or in any manner that works around any technical limitation;
    • Request from a Rauland API more than the minimum data that you need to offer the customer the intended functionality; or
    • Sublicense APIs for use by a third party.
